Welcome to Project Genius ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, services, and event offerings (collectively, the "Services"). These Terms constitute a legally binding agreement between you and Project Genius Ltd, a company registered in England and Wales.

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services. These Terms apply to all visitors, users, and others who access or use the Service.

We reserve the right to modify these Terms at any time. All changes will be effective immediately upon posting to our website. Your continued use of our Services after changes are posted constitutes your acceptance of the modified Terms. • "Content" means text, graphics, images, music, software, audio, video, information or other materials.
• "User Content" means all Content that you post, upload, publish, display, or transmit to others using our Services.
• "Account" means the unique account created for you to access our Services.
• "Ticket" means a revocable license granted by us to attend a specific event at a specific time.

Project Genius provides event management services including but not limited to:

• Organization and production of live entertainment events throughout the UK
• Ticket sales and distribution for our events through authorized channels
• Event marketing and promotional services in compliance with UK advertising standards
• VIP experiences and hospitality services
• Customer service and support for event attendees

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without notice. We do not guarantee that our Services will be available at all times or that your use will be uninterrupted or error-free.

To use our Services, you must:

• Be at least 18 years of age or the legal age of majority in your jurisdiction
• Have the legal capacity to enter into binding contracts under applicable law
• Not be prohibited from receiving our Services under applicable laws including but not limited to sanctions regulations
• Provide accurate and complete information during registration and use of our Services

By using our Services, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service to anyone for any reason at any time.

Certain features of our Services may require you to create an account. You agree to:

• Provide accurate, current, and complete information during registration as required by UK data protection laws
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security of your account credentials and not share them with third parties
• Accept responsibility for all activities that occur under your account and notify us immediately of any unauthorized use
• Not create accounts for others without their explicit permission
• Not use another user's account without their permission

We reserve the right to suspend or terminate accounts that violate these Terms, that we determine are being used inappropriately, or for any other reason at our sole discretion. You may terminate your account at any time by contacting us.

All ticket and service purchases are subject to the following terms in compliance with UK consumer protection laws:

• All prices are in British Pounds (GBP) and include applicable VAT where required by law
• Payment must be completed at time of purchase using our approved payment methods
• All sales are final - no refunds or exchanges except as required by law or as specified in our refund policy
• Tickets may not be resold above face value in violation of UK consumer protection regulations
• We reserve the right to cancel any order for any reason including suspected fraud or violation of these Terms
• All tickets are subject to availability and we cannot guarantee availability for any specific event

Event dates, times, venues, artists, and lineups are subject to change. In case of event cancellation, we will provide information about refunds or credits in accordance with UK consumer rights legislation. Force majeure events may affect our obligations under these Terms.

You agree not to engage in any of the following prohibited activities, which may result in termination of your access to our Services:

• Violating any applicable laws or regulations including but not limited to UK legislation
• Infringing on intellectual property rights of others
• Harassing, threatening, bullying, or discriminating against others in violation of the Equality Act 2010
• Uploading or transmitting viruses, malware, or other malicious code
• Attempting to gain unauthorized access to our systems, networks, or other users' accounts
• Interfering with or disrupting the integrity or performance of our Services
• Engaging in fraudulent, deceptive, or misleading practices
• Collecting or harvesting any information about other users without their consent
• Using our Services for any illegal or unauthorized purpose

We reserve the right to investigate and prosecute violations of these Terms to the fullest extent of the law, including involving law enforcement authorities where appropriate.

Our Services may allow you to post, upload, or submit content ("User Content"). You retain ownership of your User Content, but by posting it, you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display it in connection with our Services.

You represent and warrant that your User Content:

• Does not violate these Terms or any applicable laws including UK legislation
• Does not infringe on any third-party rights including intellectual property, privacy, or publicity rights
• Is not obscene, defamatory, threatening, harassing, or otherwise objectionable
• Does not contain confidential information of any third party
• Complies with all applicable content standards and regulations

We reserve the right to remove any User Content that violates these Terms without notice. We are not responsible for any User Content posted by users and do not endorse any opinions expressed in User Content.

All content and materials available through our Services, including but not limited to text, graphics, logos, images, audio, video, software, and the compilation thereof (collectively, "Content"), are our property or the property of our licensors and are protected by intellectual property laws including the Copyright, Designs and Patents Act 1988.

You may not:

• Reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any Content without permission
• Use our trademarks, service marks, or logos without express written consent
• Remove, alter, or obscure any copyright, trademark, or other proprietary notices
• Use any meta tags or other "hidden text" using our name or trademarks
• Use any robot, spider, or other automatic device to monitor or copy any Content

If you believe your intellectual property rights have been infringed, please contact us using the information below. We will respond to notices of alleged copyright infringement that comply with applicable law.

YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK. OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW.

TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT
• WARRANTIES THAT SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• WARRANTIES THAT DEFECTS WILL BE CORRECTED
• WARRANTIES REGARDING THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION, OR OTHER MATERIAL OBTAINED THROUGH OUR SERVICES

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you. This disclaimer does not affect your statutory rights as a consumer under UK law.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PROJECT GENIUS, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE SIX MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) £100.

Some jurisdictions do not allow the limitation of liability, so some of these limitations may not apply to you. This limitation of liability does not apply to liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

You agree to defend, indemnify, and hold harmless Project Genius, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

• Your use of our Services in violation of these Terms
• Your violation of these Terms or any applicable laws or regulations
• Your violation of any third-party rights including intellectual property or privacy rights
• Any User Content you post, upload, or transmit through our Services
• Your conduct in connection with our Services

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claims. You agree not to settle any matter without our prior written consent.

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. We may also terminate or suspend your account for inactivity or if we suspect fraudulent or illegal activity.

Upon termination:

• Your right to use our Services will immediately cease
• Any outstanding payments will become immediately due
• We may delete your account information and content in accordance with our data retention policies
• All licenses and other rights granted to you under these Terms will immediately terminate

All provisions of these Terms which by their nature should survive termination shall survive, including without limitation ownership provisions, warranty disclaimers, indemnity, and limitations of liability. Termination of these Terms does not affect any rights or obligations that accrued prior to termination.

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods shall not apply to these Terms.

Any disputes arising from these Terms or your use of our Services shall be resolved exclusively in the courts located in London, UK, and you consent to the personal jurisdiction of such courts. However, we reserve the right to seek injunctive or other equitable relief in any court of competent jurisdiction.

If you are a consumer, you may have the right to bring proceedings in the courts of the country where you reside. Nothing in these Terms affects your statutory rights as a consumer under UK law.

Entire Agreement: These Terms constitute the entire agreement between you and us regarding our Services and supersede all prior agreements, understandings, and representations.

Severability: If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect to the maximum extent permitted by law.

Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. The waiver of any such right or provision will be effective only if in writing and signed by our duly authorized representative.

Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction, including to any successor in interest of our business.

Notices: We may provide notices to you via email, postal mail, or through our Services. You consent to receive electronic communications from us and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.
